1. Agreement to Terms

By accessing or using Voicemonial ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Voicemonial is a voice testimonial collection and management platform that enables businesses to:

• Collect voice reviews from their customers
• Manage and moderate testimonials
• Display approved reviews on a public review wall
• Share testimonials via a unique URL

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. By creating an account, you represent that you meet this age requirement.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Post or transmit harmful, threatening, abusive, or harassing content
• Create fake or misleading testimonials
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service

• Upload viruses, malware, or other malicious code

5. User Content

5.1 Your Responsibility

You are solely responsible for all content you submit, post, or display through the Service ("User Content"), including but not limited to business information, logos, and any testimonials you collect. You represent and warrant that you have all necessary rights to use and authorize the use of such content.

5.2 Customer Testimonials

By using our Service to collect voice testimonials from your customers, you represent and warrant that:

• You have obtained proper consent from customers to record and display their testimonials
• Testimonials are genuine and from real customers
• You will not fabricate, manipulate, or misrepresent testimonials
• You comply with all applicable advertising and consumer protection laws

5.3 License Grant

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and providing the Service.

6. Service Plans and Payment

6.1 Free Plan

We offer a free Starter plan with limited features. Free plan users are subject to certain usage limits, including a maximum number of reviews that can be collected.

6.2 Paid Plans

Paid subscription plans ("Pro" and "Business") offer additional features and higher usage limits. When available:

• Subscription fees are billed in advance on a monthly or annual basis
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are provided in accordance with our refund policy
• We reserve the right to change pricing with 30 days notice

7. Intellectual Property

7.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Voicemonial. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.

7.2 Your Intellectual Property

You retain all rights to User Content you submit to the Service. We do not claim ownership over your content.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of applicable laws
• Fraudulent, abusive, or illegal activity
• Extended period of inactivity

Upon termination, your right to use the Service will cease immediately. You may delete your account at any time through your account settings. Upon account deletion, all your data will be permanently removed.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will function uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VOICEMONIAL, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

11. Indemnification

You agree to defend, indemnify, and hold harmless Voicemonial and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law principles. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
